KZEN follows a standard procedure of using log files. These files log visitors when they visit websites. All hosting companies do this and a part of hosting services’ analytics. These are not linked to any information that is personally identifiable. This document governs payments made to KZEN in connection with professional services. The specific scope, deliverables, timelines and commercial terms of an assignment may additionally be governed by an engagement letter, proposal, work order, email confirmation or other written arrangement accepted by the client. In case of a conflict, the assignment-specific written terms shall prevail to the extent of that conflict.
Entity: KZEN Valtech Private Limited (“KZEN”, “Company”, “we”, “us” or “our”)
Nature of services: Professional valuation, transaction advisory, financial advisory, consulting, research, expert support and allied professional services

By engaging KZEN, accepting an engagement/proposal, accessing a payment link, or making any payment to KZEN, the client confirms that it has read and accepted these Terms & Conditions together with the applicable engagement-specific terms.
KZEN provides professional services including, depending on the engagement, valuation of businesses, securities, intangible assets, financial instruments and real estate; transaction and corporate finance advisory; financial modelling; due diligence support; dispute, arbitration and expert support; research; and other allied consulting services. The exact scope and deliverables will be as agreed in writing for each assignment.
The client shall provide complete, accurate and timely information, documents, explanations and access reasonably required for the assignment. KZEN may rely on information supplied by the client or third parties without independent verification unless verification is expressly included in the scope. Delays or deficiencies in information may affect timelines, fees and deliverables.
Professional fees, retainers, milestone payments, reimbursable expenses and payment schedules shall be as specified in the relevant engagement letter, proposal, invoice or other written communication. Unless expressly stated otherwise, quoted fees are exclusive of applicable taxes, including GST. Payments shall be made through the payment modes made available by KZEN, including authorised online payment gateways. Bank, gateway or other transaction charges, if separately applicable, may be borne as specified at the time of payment.
Where an advance or retainer is required, commencement or continuation of work may be subject to receipt of such payment. An advance is adjusted against professional fees and expenses in accordance with the applicable engagement terms. Its refundability is governed by Part B of this document.
Any delivery date is based on information and assumptions available when the timeline is agreed. Timelines may be revised where there is a delay in receiving information, a change in scope, additional analysis requested by the client, dependency on third parties, or circumstances beyond KZEN's reasonable control.
Work outside the agreed scope, including additional scenarios, meetings, revisions arising from new information, additional entities/assets, or materially changed instructions, may be treated as additional services and may attract additional fees after communication with the client.
Reports, models, opinions, presentations and other deliverables are prepared for the purpose and intended users stated in the relevant engagement. Unless otherwise agreed or required by law, they should not be reproduced, circulated, quoted, filed, relied upon by third parties, or used for a different purpose without KZEN's prior written consent.
KZEN will use reasonable professional care to maintain the confidentiality of non-public client information, subject to disclosures required by law, regulation, professional standards, court or governmental authority, or disclosures to KZEN's personnel, advisers, service providers or subcontractors who require such information for the engagement and are subject to appropriate confidentiality obligations.
Subject to payment of all amounts due, the client may use final engagement deliverables for their agreed purpose. KZEN retains ownership of its pre-existing methodologies, templates, models, know-how, tools, databases and working papers, including improvements thereto, unless expressly agreed otherwise in writing.
Valuation and advisory work involves professional judgment, assumptions and information available as of a particular date. Estimates and opinions are not guarantees of future performance, transaction outcomes, market prices, regulatory acceptance, financing, litigation or arbitration outcomes. Actual results may differ from estimates.
Where an assignment involves filings, regulators, auditors, lenders, investors, courts, tribunals or other third parties, acceptance of KZEN's work by such party cannot be guaranteed. Additional work arising from comments, queries or changed requirements may be separately chargeable where outside the agreed scope.
To the maximum extent permitted by applicable law and subject to any engagement-specific terms, KZEN shall not be liable for indirect, incidental, special, punitive or consequential losses, loss of opportunity or loss of profits arising from use of the services or deliverables. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
KZEN may suspend work for overdue payments, material non-cooperation, legal or regulatory concerns, conflicts of interest discovered after commencement, or material breach of agreed terms. Either party may terminate an engagement in accordance with the engagement-specific terms. Fees and expenses for work performed up to the effective date of termination shall remain payable.
Online payments may be processed through third-party payment service providers. KZEN does not ordinarily receive or store full card, banking or other payment credentials handled directly by such providers. Payment processing may also be subject to the payment provider's own terms, security controls and privacy practices.
These terms shall be governed by the laws of India. Any dispute shall first be attempted to be resolved amicably. Subject to any arbitration or jurisdiction clause contained in the applicable engagement letter or other written agreement, courts of competent jurisdiction in Delhi / National Capital Region shall have jurisdiction.
KZEN's services are professional and largely time- and resource-based. Once work has commenced, professional time may have been incurred and resources allocated even if a final report or deliverable has not yet been issued. Accordingly, refunds are assessed with reference to the stage of work completed and costs incurred.
A client may request cancellation by written communication to KZEN. The effective date of cancellation will ordinarily be the date on which KZEN receives the written request, unless otherwise agreed.
Where an advance payment has been received and the client cancels before substantive work has commenced, KZEN will ordinarily refund the amount received after deducting any non-recoverable payment gateway/bank charges, taxes already required to be deposited or accounted for, and any specifically incurred third-party or administrative costs, where applicable.
Where work has commenced, KZEN may deduct professional fees proportionate to work performed, time incurred, meetings or analysis completed, and any committed or incurred third-party expenses. Any balance advance remaining after such adjustment will be refunded where applicable. If the value of work performed and expenses exceeds the advance received, the client shall remain liable for the balance amount.
Once the agreed service has been completed, a draft or final deliverable has been issued, or the assignment is substantially complete, professional fees attributable to the completed work are generally non-refundable, except in case of an acknowledged duplicate/erroneous payment or as otherwise required by applicable law.
If a client makes a duplicate payment or an amount is debited incorrectly and received by KZEN in excess of the amount due, the client should notify KZEN with transaction details. After verification, the excess amount will be refunded to the original payment method or through another mutually agreed lawful mode.
If KZEN is unable to undertake or continue an engagement for reasons not attributable to the client, KZEN will refund the unearned portion of fees/advance after adjustment for services already performed and non-recoverable expenses, unless another arrangement is mutually agreed.
Approved refunds will ordinarily be initiated within 7 to 10 business days from approval. The time taken for the amount to appear in the client's bank/card/account may depend on the payment gateway, bank or payment method and is outside KZEN's direct control.
Refunds involving GST or other statutory levies will be processed subject to applicable tax laws, invoicing/credit-note requirements and statutory adjustments. The refundable amount may therefore differ from the gross amount originally paid where taxes or statutory charges cannot lawfully be reversed.
Cancellation or refund requests should be sent to KZEN through the official email address or contact channel stated on the relevant invoice, engagement letter, proposal, payment page or the Company's official website. The request should include the client's name, invoice/reference number, payment date, amount, transaction reference and reason for the request.
If a client has a concern regarding a payment, cancellation or refund, the client is requested to contact KZEN first so that the matter can be reviewed and resolved based on the engagement terms, work completed and transaction records.
KZEN may update these policies from time to time to reflect changes in its services, payment processes, legal requirements or business practices. The version applicable to a particular engagement/payment will be the version in effect at the relevant time, subject to any separately agreed written terms.
